HELLO.CAR is based in the United Arab Emirates and owns and operates the website at www.hello.car (the "Website"). It is important that you carefully read and understand the terms and conditions provided herein. By accessing and using this Site, you (referred to as "You") agree to be bound by the Terms and Conditions outlined below. If vou do not agree with these Terms and Conditions, please refrain from using this Site. Unless otherwise specified in writing, these Terms and Conditions take precedence over any other agreements you may have with Hello.Car. Hello. Car may, at its discretion, revise these Terms and Conditions at any time.By electronically accepting these Terms of Use, you enter into a legally binding agreement with Hello.Car. This Agreement establishes the general terms and conditions governing your use of the Site and your procurement of the products and services offered on the Site (the "Services").

ELIGIBILITY

This Site and the Services are exclusively available to individuals or entities (referred to as "Users") capable of entering into legally binding contracts as per the laws of the United Arab Emirates. The Services are intended for users who are eighteen (18) years of age or older. Any registration, use, or access to the Services by individuals under the age of eighteen (18) is unauthorized and constitutes a violation of this Agreement. If you are a minor, you may use or transact on the Site only under the supervision of your legal guardian or parents. Hello.Car reserves the right to terminate the Services and/or deny access to the Site for individuals under the age of 18. If you are entering into this Agreement on behalf of a corporate entity or another organization, you represent and warrant that you have the legal authority to bind that corporate entity or organization to the terms and conditions contained herein. In such cases, the terms "You." "Your," and "User" will refer to that corporate entity or organization.

YOUR ACCOUNT

To access certain features of this Site, purchase products, or use some of the Services, you must register. You represent and warrant to Hello.Car that all information you provide, both personal and related to your organization (if applicable), as prompted by the registration forms when creating your Account, is accurate, current, and complete. It is your responsibility to maintain the accuracy and completeness of this information. If Hello.Car has reason to believe that your Account information is false, inaccurate, outdated, or incomplete, Hello. Car reserves the right, at its sole discretion, to suspend or terminate your Account. You are solely responsible for the activity conducted on your Account, whether authorized by you or not, and you must maintain the confidentiality of your Account information, including your login, password, and Payment Method(s). You must notify us immediately of any security breach or unauthorized use of your Account. Hello.Car is not liable for any losses incurred due to unauthorized use of vour Account.

CONTENT

All content available through the Products and Services, including designs, text, graphics, images, video, information, software, audio, and other files, as well as the selection and arrangement of these elements, and all software used to provide the Products and Services (referred to as "Hello.Car's Content"), are either the property of Hello.Car or its licensors. No rights to Hello.Car's Content are granted to you, unless expressly stated in this Agreement. Hello. Car's Content may not be modified, copied, distributed, reproduced, republished, downloaded, displayed, posted, transmitted, sold, or exploited for any purpose, in whole or in part, unless explicitly allowed in this Agreement. You may not attempt to derive the source code or other trade secrets from any Hello.Car's Content. Any use of Hello. Car's Content beyond what is expressly authorized in this Agreement is prohibited and will result in the automatic termination of your rights related to the use of the Services and Hello.Car's Content. Any rights of Hello.Car or its licensors not explicitly granted in this Agreement are reserved.

PRIVACY

The privacy of our Users is important to us. The Hello. Car's Privacy Policy governs the use of data and information provided to Hello. Car by you. By accepting this Agreement, you acknowledge that you have read and agreed to the terms of the Privacy Policy.

SECURITY

You understand and accept that despite the security measures employed by Hello. Car, its systems may be compromised. In such cases, Hello.Car may take corrective actions it deems necessary and appropriate in its sole discretion. You agree that Hello.Car is not liable for any damage or loss resulting from such corrective actions.

TERMINATION OF ACCESS TO ACCOUNT

Hello.Car may temporarily or permanently suspend access to your Account with or without prior notice if it deems such action necessary to prevent illegal, unauthorized, or fraudulent use of the Site. Hello.Car may terminate our access to your Account and/or the Services, in part or in full, upon notice under the following circumstances: You fail to pay any fees owed to Hello. Car. You violate the terms and conditions of this Agreement. Your actions harm Hello. Car, cause liability, disrupt Hello. Car's business operations, or impact Hello. Car's reputation, as determined by Hello. Car in its sole discretion. Other lawful reasons as specified in this Agreement. In the event of termination, Hello.Car will not refund fees paid in advance, and you will be required to pay all accrued fees and charges prior to termination.

AVAILABILITY OF WEBSITE

Hello. Car will make commercially reasonable efforts to provide this Site and the Services 24 hours a day, 7 days a week. However, this Site may become inaccessible or inoperable due to equipment malfunctions, maintenance, or other causes beyond Hello.Car's reasonable control. Hello.Car relies on its service providers for delivering these Products and Services and has no control over the continuous and uninterrupted availability of the Site and the Services.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Hello.Car and its affiliates, as well as its officers, directors, employees, agents, and all third-party service providers, from any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings (whether legal or administrative), and expenses (including, but not limited to, reasonable attorney's fees) threatened, asserted, or filed by a third party against Hello. Car or its officers, directors, employees, agents, and/or its third-party service providers. Such claims may arise from (i) your purchase of Products or use of the Services, (i) any breach or violation by you of this Agreement, or (ill) any of your acts or omissions, including, but not limited to, fraud, negligence, or willful misconduct. This indemnification obligation applies except to the extent that any of the aforementioned issues directly result from Hello.Car's gross negligence or willful misconduct. The terms of this section shall endure even after the termination of this Agreement.

GOVERNING LAW

Any dispute, controversy, or claim arising from this Agreement, its formation, or breach, including claims based on alleged tort, shall be governed by the laws of the United Arab Emirates in the Emirate of Dubai, without considering conflicts of law principles, and shall be subject to the exclusive jurisdiction of the courts in Dubai.

OTHER GENERAL TERMS

Hello.Car and the User operate as independent contractors, and nothing within this Agreement establishes a principal-agent, partnership, or joint venture relationship between Hello. Car and Users. In the event that any provision or portion of a provision within this Agreement is deemed illegal, invalid, or unenforceable by a court with competent jurisdiction, it is the intent of the parties that the remaining provisions or portions (unless otherwise specified) shall continue to govern their agreement regarding the subject matter herein, and all such remaining provisions or portions unless otherwise specified shall remain in full force and effect. No failure or delay by any party herein to exercise a right or remedy provided in this Agreement shall be considered a waiver of such right or remedy, and any single or partial exercise of any right or remedy by any party shall not preclude the exercise of any other or further rights or remedies. You are not permitted to assign or transfer your obligations, rights, and/or duties under this Agreement without the prior written consent of Hello.Car. Any attempted assignment in violation of this provision shall be deemed null and void and of no effect. Hello.Car reserves the right to assign its rights and obligations under this Agreement and may engage subcontractors or agents in the performance of its duties and exercise of its rights hereunder without requiring your consent. Neither party shall be held liable for any default or delay in the performance of its obligations under this Agreement, except for failures to make payments when due. Such default or delay, if caused directly or indirectly, by forces beyond a party's reasonable control, including but not limited to events such as sandstorms, fire, flood, acts of God, labor disputes, accidents, pandemics, lockdowns, acts of war or terrorism, transportation or communication interruptions, supply shortages, internet outages, technology or network disruptions, or the failure of any third party to fulfill commitments related to the production or delivery of equipment or materials necessary for a party to meet its obligations under this Agreement. This Agreement does not confer any rights or benefits upon third parties.

MODIFICATION OF AGREEMENT, SITE, OR SERVICES

Hello.Car reserves the right, in its sole and absolute discretion, to modify or amend this Agreement and any policies incorporated herein at any time. Such changes or modifications will take effect immediately upon their posting on this Site.
